TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSMIC RESIDENTIAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT ANY LIABILITY IS NOT LAWFULLY EXCLUDABLE, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

You agree to indemnify, defend, and hold harmless Cosmic Residential and its officers, directors, employees, partners, licensors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

Upon termination, all provisions intended to survive termination (including ownership, disclaimers, limitations of liability, and indemnification) shall survive.

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. You and Cosmic Residential agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any disputes that are not subject to arbitration (if applicable) or cannot be resolved informally.

18) Dispute Resolution; Arbitration (Optional)

At our election, any dispute, claim, or controversy arising out of or relating to these Terms or the Services may be resolved by binding arbitration administered by a reputable provider. If elected, arbitration will take place in New York County, New York, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. You and Cosmic Residential waive any right to a jury trial. This clause does not apply to claims that cannot be arbitrated as a matter of law.

Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect intellectual property or confidential information.
